1. Research topic- analysis of the role of board of directors in corporate
governance under the Companies Act No.10 of 2017.
2. Research aim- the study conducts a comprehensive review of the structure,
functions, powers, and duties of boards under the Companies Act No. 10 of
2017, identifying strengths and weaknesses. It highlights how poor
governance has contributed to corporate failures through inadequate
accountability and financial malpractices.
3. Areas of law covered- this study has placed central focus on the
Companies Act No. 10 of 2017(commenced by Statutory Instrument No. 47 of
2018 which brought the Act into operation on the 15th June 2018). Part vii
( Corperate Governance) is central detailing the appointment, powers, duties,
and limitations of directors and board. The Act provides a codified foundation
for board stewardship, emphasising transparency, accountability, and high
standards of corporate governance.
